Exclusions & Residuals

Exclusions. The obligations of confidentiality and non-use under this Agreement shall not apply to any information that the Receiving Party can demonstrate by written records or other competent evidence:
(a) was already known to the Receiving Party prior to receipt from the Disclosing Party;
(b) was or becomes publicly known or available through no breach of this Agreement by the Receiving Party;
(c) is independently developed by the Receiving Party without use of or reference to the Disclosing Party’s Confidential Information;
(d) is lawfully received by the Receiving Party from a third party having no obligation of confidentiality to the Disclosing Party; or
(e) is approved in writing by the Disclosing Party for release or use.

Residuals. Notwithstanding anything to the contrary in this Agreement, nothing herein shall be construed to prevent the Receiving Party from using, in the ordinary course of its business, any residual information retained in the unaided memory of its employees or agents who had access to the Disclosing Party’s Confidential Information (“Residuals”), provided that the Receiving Party does not use or disclose any Confidential Information as such (whether written, electronic or tangible) of the Disclosing Party. For avoidance of doubt, “Residuals” shall exclude any documents, prototypes, samples, copies or other materials provided by the Disclosing Party, and no implied licence to any intellectual property or trade secret is granted by virtue of this clause.

Term, Survival & Return/Destruction of Materials

Term. This Agreement shall commence on the Effective Date and shall continue for a period of [two (2) / three (3) / five (5)] years thereafter (the “Term”), unless earlier terminated in writing by either party.

Survival. Notwithstanding the expiration or termination of this Agreement, the obligations of non-disclosure, non-use and confidentiality set forth herein shall survive for a period of [two (2) / five (5) / an indefinite period] years from the date of termination or expiration, or for so long as the Confidential Information remains a trade secret under applicable law, whichever is longer.

Return or Destruction of Materials. Upon the expiration or earlier termination of this Agreement, or upon the written request of the Disclosing Party at any time, the Receiving Party shall promptly:

  1. return to the Disclosing Party all originals and all copies (in any form, including electronic) of the Disclosing Party’s Confidential Information in the Receiving Party’s possession, custody or control; or
  2. destroy all such Confidential Information and certify in writing to the Disclosing Party at its request that such destruction has been completed.

The Receiving Party may, however, retain one archival copy of such Confidential Information in its secure records solely for internal compliance or auditing purposes, provided that such retained material remains subject to all confidentiality obligations of this Agreement.
